Public Offer Agreement

1. Subject of the Offer

1.1. 1.1. This document is an official offer by SML Softwaremasters Ltd., registered in Cyprus, hereinafter referred to as the "Provider", to enter into a service agreement with any individual or legal entity (hereinafter the "User"), as defined in the Provider's Terms of Service.

1.2. The Provider grants the User access to the Service, and the User is granted the right to use the Tools of the Service in accordance with the Terms of Service, including the payment procedure defined in this Offer.

2. Terms and Definitions

2.1. The terms and definitions used in this Offer shall conform to those specified in the Terms of Service (Section 1), available at https://bothub.center/tos

3. Procedure for Accepting the Offer

3.1. During the registration process on the Site or activation of the Telegram Bot, the User shall be presented with the text of this Offer and explicitly prompted to accept its terms.

3.2. The User may accept the Offer by performing the action of checking a box or clicking a button labelled "I accept the Offer" (or similar wording) during registration. Acceptance of the Offer shall be a prerequisite for completing registration and gaining access to the Service.

3.3. The User has the right to refuse acceptance of this Offer at any time during the registration process by not checking the box or not clicking the acceptance button. In such case, the registration shall be terminated, and the User shall not be granted access to the Service.

3.4. Once the User accepts the Offer in accordance with clause 3.2, such acceptance shall be deemed a full and unconditional acceptance of all terms of this Offer and the Terms of Service, resulting in a legally binding contract between the Provider and the User.

4. Procedure for Payment and Top-up of Balance

4.1. To gain access to the Service, the User must make an advance payment. Payment is made by transferring funds from the User's bank card to the Provider's account.

4.2. The Provider may engage a third-party payment provider to collect and process payments on behalf of the Provider. Specific payment methods are determined based on the options provided by the payment provider and the Service interface.

4.3. Upon confirmation of payment, the Provider credits the corresponding amount of internal currency (OLR) to the User's Account. The cost of OLR is determined by the Provider and may vary. The current cost of OLR is displayed on the Service interface before the User makes a payment.

4.4. The User may use OLR to pay for access to the Service, Tools, or any other functionality provided by the Service, at the rates set by the Provider and indicated on the Service website or Telegram Bot interface.

4.5. All payments under this Offer are made in USD at the exchange rate set for the selected payment method.

6.1. Prior to accepting this Offer, the User is advised to review the Refund Policy set out in Section 7 of the Terms of Service.

6.2. The Provider shall not provide refunds for the unused portion of the Plan or for unspent OLR tokens. All paid funds are non-refundable, except as otherwise provided by applicable law.

7. Duration, Amendment, and Termination

7.1. This Offer comes into force upon its posting on the Site or as otherwise specified by the Provider and is valid indefinitely until revoked by the Provider.

7.2. The Provider reserves the right to unilaterally amend the terms of this Offer at any time. Amendments take effect starting from the moment of their publication. The User's continued use of the Service after such changes are posted constitutes acceptance of the amended terms.

7.3. The Provider may terminate the Agreement unilaterally without prior notice to the User, including, but not limited to, in the event the User violates the Terms of Service or the terms of this Offer, as well as in cases of non-payment.

8. Applicable Law and Dispute Resolution

8.1. The relationship between the Provider and the User under this Offer shall be governed by the laws of Cyprus, without regard to its conflict of law provisions.

8.2. Any dispute arising out of or in connection with this Offer shall be resolved through negotiations. If the dispute cannot be resolved through negotiation, it shall be referred to the competent courts of Cyprus. All correspondence and proceedings regarding such disputes shall be conducted in English.
